Magnolia Oil & Gas to Acquire WildFire Energy

After months of negotiation, Magnolia Oil & Gas announced on July 20th, 2026, that it was acquiring privately held WildFire Energy for $4.06 billion. The deal adds 810,000 acres in the Giddings field of South Texas, more than doubling Magnolia’s acreage to roughly 1.25 million net acres and lifting combined production to approximately 159,000 boe/d. Magnolia also acquired a sand mine and 500 miles of gas gathering pipelines previously owned by WildFire. To see a map of the full acquisition presented by Magnolia Oil & Gas, follow the link here.

What distinguishes Giddings, which spans the Austin Chalk, Eagle Ford, and Woodbine formations, from more widely discussed regions, such as the Permian, is its maturity. Magnolia has already established production in the area, and through the acquisition of WildFire’s assets, it is positioned to potentially double its yearly production.

Magnolia and WildFire’s acreage positions are complementary rather than overlapping. WildFire’s wells carry an oil cut of roughly 70%, whereas Magnolia’s wells carry an oil cut closer to 40% due to their being in the gassier Austin Chalk. Also, WildFire’s well productivity has been improving steadily, while Magnolia’s productivity and efficiency are also strong but slightly flatter. All in all, what the deal brings to Magnolia’s portfolio is oilier, growing production in a play with existing low-breakeven acreage.

Taken together, the framework of the deal points to an emphasis on creating free cash flow and shareholder returns rather than exploration risk. Magnolia Oil & Gas has effectively increased its inventory and acreage position and gained a higher oil weighting, positioning the company for increased oil production while holding to capital discipline.
